Terms & conditions.
The ground rules for working with us. These apply to all services and products provided by Sky Web Design Ltd unless a signed Statement of Work says otherwise.

These terms are a summary of the framework agreement you’ll sign when we work together. Anything specific to your project (scope, price, milestones) lives in the Statement of Work (SoW). Where the SoW and these terms conflict, the SoW wins.
1. Parties
These terms are between Sky Web Design Ltd (company number 08765432, registered at 14 North Street, Leeds, LS1 2AA), hereafter “Sky”, and the client named in the Statement of Work (“you”, “the Client”).
2. Services
Sky provides website design and development, custom plugin development, mobile application development, managed hosting, and ongoing support. The specific services for each engagement are set out in a signed Statement of Work.
3. Quotes, proposals and statements of work
Our written quotes are valid for 30 days. A project begins once both parties have signed a Statement of Work and Sky has received the agreed deposit (typically 40%).
4. Changes and additional work
If you request work beyond the agreed scope, Sky will issue a written change request with revised cost and timeline. No out-of-scope work is started without written approval.
5. Fees and payment
- Project work: 40% on signature, 40% at agreed milestone, 20% on launch, unless the SoW says otherwise.
- Retainer and hosting: billed monthly in advance.
- Ad-hoc work: billed in arrears at our then-current day rate (currently £750/day, plus VAT).
- Invoices are due 14 days from issue.
- Overdue amounts accrue interest at 4% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.
- Sky may suspend work on any overdue account with 7 days’ written notice.
6. Your responsibilities
For projects to run smoothly we need you to:
- Provide content, assets, and access (hosting, DNS, existing systems) in the timeframes agreed in the SoW.
- Nominate a single point of contact with authority to make decisions.
- Review deliverables promptly, typically within 5 working days.
- Ensure that any content you provide us doesn’t infringe third-party rights.
7. Intellectual property
On full payment, Sky assigns to you all intellectual property rights in the bespoke deliverables produced for your project, site, code, content, designs. You own your site.
Sky retains rights in:
- Any Sky-owned plugins, libraries, or tooling (e.g. SkyDonate, Sky Authenticator) that are licensed to you, not sold. The applicable product licence terms apply.
- Pre-existing Sky know-how and methods, which we remain free to reuse.
- Open-source components, which remain governed by their own licences.
We’d like to showcase your project in our portfolio. You can opt out in the SoW.
8. Warranty
Sky warrants that deliverables will substantially match the specification in the SoW and be free of defects causing material failure for 30 days after launch. During that period we’ll fix such defects at no additional cost. Beyond 30 days, fixes are either covered by a support retainer or billed at our day rate.
This warranty does not cover defects caused by modifications made by anyone other than Sky, third-party plugins or services outside our control, or use outside the agreed scope.
9. Limitation of liability
To the fullest extent permitted by law:
- Neither party is liable for indirect, consequential, or pure economic loss including loss of profit, revenue, goodwill, or anticipated savings.
- Sky’s total aggregate liability under or in connection with any project is capped at the total fees paid by you to Sky under the relevant SoW in the preceding 12 months.
- Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded.
10. Confidentiality
Each party will keep the other’s confidential information secret and use it only for the purposes of the engagement. This obligation continues for 3 years after the engagement ends.
11. Data protection
Where Sky processes personal data on your behalf (e.g. running your site), we act as your processor under a separate Data Processing Agreement that forms part of the SoW. See our privacy policy for how we handle your personal data.
12. Termination
- Either party may terminate an engagement with 30 days’ written notice.
- Either party may terminate immediately for material breach not remedied within 14 days of notice, or on insolvency.
- On termination, you pay for all work completed or committed to the point of termination.
13. Hosting and subscriptions
Managed hosting and product subscriptions (e.g. SkyDonate Pro) are governed by these terms plus any product-specific Subscription Terms. Key points:
- Billed monthly in advance; cancel anytime with 30 days’ notice.
- We target 99.9% uptime. Service credits are outlined in our Service Level Agreement supplied on request.
- We back up daily and retain backups for 30 days.
14. Force majeure
Neither party is liable for failure or delay caused by events outside its reasonable control (e.g. extended third-party infrastructure outage, industrial action, natural disaster, pandemic, war). The affected party will notify the other promptly and work in good faith to mitigate.
15. Assignment and sub-contracting
Sky may use approved sub-contractors provided they are bound by equivalent confidentiality and data-protection obligations. Neither party may assign the contract without the other’s written consent, save that Sky may assign to a successor in the event of a group reorganisation.
16. Governing law and jurisdiction
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, save that either party may seek urgent injunctive relief in any competent court.
17. Changes to these terms
We may update these terms from time to time. Material changes affecting active engagements will be notified in writing at least 30 days in advance. The version that applies to you is the one in force on the date you signed your SoW.
